Session 1: PPS Leases in a Shifting Landscape

Practitioners have seen a third recent change to the definition of PPS lease under section 13 of the PPS Act. This session unravels the three changes and examines the tricky issues clients face with PPS leases. It covers:

  • Which version of “PPS lease” should you apply and when?
  • The recent amendments – understanding the implications and possible unintended gaps
  • Do the changes affect existing leases?
  • License agreement v PPS lease
  • Does the incidental supply of equipment for the purpose of providing a service or goods create a PPS lease?
  • The meaning of ‘regularly engaged in the business of leasing [or bailing] goods’ and ‘fungible goods’
  • Operating leases – Banker priority where goods leased or bailed to a third party (whether or not in liquidation) and lessor/bailor did not register
  • Practical case studies


Session 2: Unfair Contract Legislation and Small Business Transactions

Unfair contract terms protection has now been extended to small business. This session looks at recent legal developments in the regulation of unfair contract terms:

  • Unfair contract term regulation and small business - impact on standard form contracts
  • What is a small business under the new laws?
  • Understanding what is an unfair term – the key issues that make it ‘unfair’
  • The impact of a finding that a term is unfair – enforceability and rights
  • Why it is important to review standard form contracts to ensure compliance
  • The impact on unilateral rights in a contract
  • Where to now for business:
    • use of standard form contracts including automatic renewal clauses
    • avoiding unenforceable terms
    • risk management checklist when entering new contracts


Session 3: Cyber Security – The Legal Response to a Growing Risk

Recent data breaches across public, private and government sectors highlight that any organization is at risk of cyber-attack. Information security is arguably the most vital risk management issue for many clients. How the law responds to this is covered in this session:

  • Minimizing legal exposure from cyber risk – drafting internal policies and procedures
  • Contractual provisions - discovery, remediation and reporting of breaches
  • Notification obligations to data protection authorities
  • Regulation of data breaches and cyber security crimes
  • Insurance and data security
  • Investigating incidents - understanding legal obligations when making enquiries
