Session 1: Choice of Entity: Matching the Entity to the Needs of the Clients
It’s one thing to understand the tax attributes of a particular class of entity. It’s quite another to match the needs of your clients to the appropriate entity as they launch a new enterprise. This presentation discusses the key attributes of each type of entity and what they are suited for.
Understanding the client’s business objectives
Simple partnerships – key attributes and when to use them
Companies – key attributes and when to use them
Discretionary trusts – key attributes and when to use them
Unit trusts – key attributes and when to use them
Hybrid structures – eg companies owned by trusts, partnerships of discretionary trusts and so one – when to use them
Worked examples of each structure showing the benefits of using them in defined circumstances
Session 2: Business Restructures and Sales: Small Business CGT Concessions
The small business CGT concessions are notoriously complex and intricate. It’s easy to get lost in the detail. This session examines how the concessions work in practice, including:
An overview of the four concessions
How they work together to minimise tax on sale
Use in restructures – benefits of cost base uplift
The active assets test – how it works in practice
The maximum net asset value test - a high level review
Active assets held through trusts and companies – a high level review
Getting the money out of trusts and companies
Worked examples of how the concessions work in practice
Session 3:Business Restructures and Sales: the Small Business Restructure Rollover
The small business restructure rollover is another key tool in restructuring clients’ businesses. It is in some ways harder to use but it is very effective in some circumstances where the CGT small business concessions cannot be used. This session examines the following:
Small business restructure rollover - Division 328G – how it differs from Div 152 rollover
Assets to which the concession applies
Purposes for which you can use the rollover
