    • Having and updating a family shareholders agreement where there is a multi-generational business can help maintain family harmony and lead to successful business transition over the generations. This session will look at planning and drafting key clauses in such agreements.
  • Sale of Business Agreements: Documenting the Essentials
    • There are a myriad of considerations to be taken into account when preparing a sale of business agreement for your client. Although much will depend on the industry and the nature of the business, there are a number of key issues common to all business sales that every practitioner needs to understand and manage.  This session provides a guide to drafting business sale documents and their key terms.
  • Getting the Balance Right: Drafting Warranties, Indemnities and Limitation of Liability Clauses in Supply Agreements
    • One of the key contractual issues in the provision of the goods and services is the importance of supply in accordance with the terms of the contract. While most suppliers start out with the best intentions, failure to meet obligations can result in serious consequences. This session looks at three contractual mechanisms for risk minimisation and how to draft them for best effect.

Sessions include the treatment of confidential information in litigation, practical and procedural responses to shareholder disputes, as well as effective management of thorny partnership disputes.

  • Howdy Partner! Effective Management of Partnership Disputes
    • A group of individuals decide to carry on business together with a view to profit. What can possibly go wrong? Quite a lot, actually. This practical session examines the law of partnership and how advisers to partners can best navigate disputes when relationships sour.
