This session will give you a refresher on what taxation issues you need to consider when liquidating a company.  The composition of the balance sheet, the nature of the shareholders, the franking account balance and CGT all need to be considered.  This session covers:

  • Distribution of capital gains, retained earnings and tax preferred amounts in the event of liquidation
  • Pre-CGT shares in and pre-CGT assets of companies
  • Interim and final distributions to shareholders
  • Franking Liquidator’s distributions

Michael Clough is a partner in the Melbourne office where he specialises in income tax issues which arise in the domestic and international capital and debt markets and M&A transactions. He has been closely involved in the development of financial instruments and capital market products.
