Stamp duty and landholder duty continue to be a difficult and challenging area, especially for restructures and business acquisitions. This session studies some common and complex scenarios, as well as the High Court’s verdict in Placer Dome. It covers:

  • The use of the corporate reconstruction exemption in relation to corporate restructures:

    • what kind of transactions can be exempted?

    • what relationship needs to exist between transferor and transferee?

    • what pre- and post-association rules apply? Notification obligations to the revenue office

  • Liability to landholder duty:

    • what types of transactions are caught? The acquisition of control over a landholder

  • Case update: Placer Dome Inc v Commissioner of State Revenue–does the value of goodwill adhere to land in certain businesses?
