Treasury has recently announced ground-breaking reforms to mergers and acquisitions set to take effect from January 2026. The reforms will move Australia away from a voluntary regime effectively creating a new single, mandatory, suspensory merger control system. These drastic changes are nothing short of rewriting the law and preparing for these changes will take time. To help commercial lawyers get their head around these reforms, understand what it will mean in practice and what steps do businesses (and law firms) need to take now to prepare for the changes, this session shall look at:

  • The new role of the ACCC, removal of right for merger parties to have mergers determined by the Federal Court and what the new evidence giving process will be
  • The thresholds for mandatory notification to the ACCC
  • What information needs to be provided if threshold is met and what further evidence or information can be requested/compelled
  • The new powers of the ACCC - removal of call-in power, power to investigate other transactions) and the substantive test merger parties need to positively satisfy
