The PPSA remains a headache in terms of its practical application and there have now been many major financial losses arising from the legislation. This session revisits some core issues with the PPSA, with a focus on how these make a difference in real world situations where PPSA risks arise. This session includes:

  • What is a ‘security interest’ – a reminder about when the Act can apply – assignments of debt, leases, hires and bailments, completion arrangements and ‘informal security’.
  • PPSA’s unforgiving priority rules – case studies.
  • PPS leases – the major May 2017 amendments to the Act and the new 2 year threshold. Can you stay out of the PPSA? What if your short term hire or bailment is about to turn into a PPS lease? Can you safely register at that time?
  • The developing law on extensions of time for late registration. How to deal with a registration that is incorrect or out of time and what must the client be told?
  • Statutory and common law liens – how are they affected?
  • Processed or commingled goods and proceeds– does the security attach?
  • Doing the deal - searching the register – what is acceptable practice?
  • When is it no longer safe to rely on a transitional registration?
