Putting considerable thought at the outset into the future tax considerations of the structure that a business will be housed in, will likely pay off in spades down the track. This session reviews the various structures and their unique tax issues, including:

  • Structuring for eligibility to the small business CGT concessions in the future, including:
  • connection between business entity ownership and an asset owning entity
  • the structuring when intangible assets (ie. IP) are involved
  • planning for the active asset test re. shares and trust interests (ie. the 80% test)
  • The tax treatment of loans by related parties to fund the business held in a discretionary trust (TD 2018/9)
  • Consideration of the company base rate entity 25% tax rate
  • Knowing when to seek or refer to appropriate professional as and if required, to tick of the commercial aspects of a structure, including:
  • securing related party loans
  • planning for worst case scenarios (ie. insolvency)
  • Case studies

As a partner in Cooper Grace Ward’s commercial team, Linda specialises in providing tailored advice and support services to accountants, financial planners and other professional advisers.

Linda provides technical advice on complex tax, capital gains tax (CGT), Division 7A issues, and acting on business sales and acquisitions to ensure clients achieve commercial and tax effective outcomes.

Prior to joining Cooper Grace Ward, Linda worked as an accountant for 18 years, advising clients on capital gains, business acquisitions, and restructuring, providing her with a unique insight into her current clients’ business environment. She also regularly conducts seminars and training on topics including business structuring, CGT small business concessions and Division 7A issues.
