The market place for the supply of goods and services is largely unconstrained by state, national and international borders. However, the relationship between the parties still needs to be regulated contractually, and accounting for jurisdictional issues can be complicated. This session will examine key jurisdictional clauses in contracts, including:

  • Governing law provisions for disputes – where will they be heard?
    • Deciding which jurisdiction will regulate the contract
    • An exclusive or non-exclusive jurisdiction clause?
  • Enforceability issues for international contracts
    • Rules of evidence and service of notices
    • When is arbitration appropriate and drafting tips for arbitration clauses
  • Examples of clauses
    • Consideration of matters including currency, transport and tax and how these can be incorporated into the contract
    • The application of federal or state legislation to imported goods or use of services outside the jurisdiction
  • Tips for:
    • negotiating with an international or interstate business partner
    • drafting to incorporate international treaties and conventions

Alicia Hill, Principal, Sladen Legal

Alicia heads Sladen Legal’s Dispute Resolution and Litigation team. She is an Accredited Specialist in Commercial Litigation with the Law Institute, a Nationally Accredited Mediator and a graded Arbitrator working to use the correct dispute resolution process to resolve commercial disputes for clients.

Alicia provides advice and details of the options available to clients in respect of their disputes and then works collaboratively with them to achieve a resolution of the matter in a cost effective and efficient manner.
