One question you will be asked in public practice by a client commencing business is “what structure should I use?” Whilst asset protection forms a major part of the discussion, there are also the tax attributes of each structure to consider. This session provides an overview of the key tax issues of the options available, including:

  • Sole trader:
    • non-commercial loss rules
    • marginal tax rates
  • Partnership:
    • use of partners salaries
    • income splitting (TR 94/8)
  • Company:
    • review of company tax rates
    • Division 7A issues
    • methods of extracting funds
  • Trust:
    • the various types of trusts (ie. unit, discretionary, hybrid)
    • treatment of losses
    • obtaining funds from a trust
  • The potential CGT implications applicable to the various structures, including:
    • the CGT 50% discount
    • the CGT small business concessions
  • Practical examples

Edward works in the Business Law team at Sladen Legal, advising private clients, high-net-worth individuals, and family groups on their Australian federal tax affairs, as well as managing disputes with revenue authorities.

Edward commenced his career as a graduate in the ATO and then as a lawyer within the ATO’s Tax Counsel Network and Review and Dispute Resolution business lines. Edward has also worked in a number of large accounting and national law firms.
