About the Webinar

From the corner café to a multi-generational agricultural enterprise, business sales in regional NSW come with unique challenges and risks. • Structuring the deal: asset sale vs share sale - legal and tax implications
  • Key inclusions: purchase price mechanics, deposits, retention amounts, and earn-outs
  • Drafting warranties and indemnities that reflect the size and risk of the deal
  • Handling employee transfers, leases, and third-party consents
  • Restraint of trade clauses: scope, duration and enforceability
  • Managing settlement deliverables and transitional obligations
