Recorded Interactive Webinar: Protecting Confidential Information: Drafting Enforceable Clauses After New Aim v Leung
Date/Time
About the Webinar
Commercial disputes involving departing employees, leaked business information and misuse of internal data are becoming increasingly common, but New Aim Pty Ltd v Leung demonstrates that many confidentiality clauses still fail to clearly define what is actually protected. This important Full Federal Court decision reshapes the relationship between contractual confidentiality obligations, equitable duties of confidence and section 183 of the Corporations Act, while also exposing the limits of boilerplate drafting. This practical session examines the case and the drafting lessons commercial lawyers cannot afford to ignore, including:
- How courts determine whether information is confidential and why the same body of information may be partially confidential and partially not.
- What New Aim v Leung confirms about the importance of specificity in confidentiality clauses.
- The role of organisational conduct in establishing confidentiality.
- The relationship between contractual confidentiality obligations and equitable obligations of confidence.
- How the Full Court overruled the previous approach to s 183 of the Corporations Act, confirming that the provision is not limited to information that is confidential in equity.
- The derivative liability of third parties who receive and use confidential information from a former employee.
- Practical steps for advisers drafting confidentiality provisions and tips for advising clients on the limits of what can be protected by contract alone.
