An understanding of the impact of the PPSA on the acquisition, holding and transfer of personal property is essential for rural practitioners dealing with transactions and claims in the rural sector. This session examines the common, and not-so-common mistakes practitioners make when navigating PPS issues for their clients, including:

  • What categories of agricultural assets can be used as security?
  • Relationship between security interests in crops and interests in land – section 84
  • Crops and livestock as personal property – sections 84A, 85 and 86 PPSA
  • Registration of a security interest the technical requirements and the consequences of not having a valid registration
  • Retention of title clause in sale and purchase contracts – their importance in the PPS context
  • Priority of security interests and the effect on competing claims
  • The length of protection of registration – renewing registration before expiration
  • Consequences of failure to check the register on a purchaser of land or assets

Peter Mills, Special Counsel, Active Law, Queensland

Peter’s area of expertise for the last 18 years has been in Personal Property Securities Act (2009) (PPS), Creditor Recoveries, and Insolvency. 

Peter is a recognised expert in the PPS and its interaction with other laws and registers (including insolvency under the Corporations Act (Cth)). 

Peter is admitted as a lawyer in both Australia and Papua New Guinea and regularly advises interstate and overseas clients.  His extensive client base includes controllers (voluntary administrators and liquidators), trade creditors and suppliers, accountants, SME’s, subsidiaries of domestic and international companies, and other law firms (domestic and international). 

Peter regularly advises clients as to the PPS registration process and how to minimise documentation and record keeping, saving tens (sometimes hundreds) of thousands of dollars in the PPS registration process. He also advises on the recovery of assets and debts, despite liquidators being appointed, by using the PPS instead of the courts.
