 ABOUT THE ONLINE MASTERCLASS

Morning: Commercial Law Tactics in Times of Crisis

  • Drafting Commercial Contracts in an Economic Downturn - Hard times call for hard responses. Now is the time to review how your contract clauses are constructed and how they respond to these unusual times. This session looks at the key drafting considerations in preparing watertight contracts.

  • Drafting Effective Exclusion Clauses During Unprecedented Times - Courts are reluctant to interpret exclusion clauses broadly, preferring to interpret narrowly where possible. Drafting wide exclusions must be carefully done to avoid ambiguity. How can exclusion clauses in commercial agreements be used for maximum impact in these uncertain times? This session looks at the key issues.

  • Shareholder Remedies – Practical and Procedural Responses to Times of Crisis - When things become difficult, strategy becomes paramount. This session looks at recent case law in shareholder remedies and how we either adapt or fail when it comes to managing corporate disputes.

Afternoon: Commercial Law Disputes – The Strategic Toolkit

  • Equitable Remedies in Commercial Law Disputes - Equity is a discretionary jurisdiction for courts. Do challenging times represent an opportunity for greater use of an equity discretion? This session looks at the key equitable remedies that may be granted for commercial transactions outside of contract, and how they may render equitable remedies particularly suitable to our uncertain times.

  • When Confidential information and Discovery Intersect in Commercial Disputes - Is confidential information exempt from discovery? This session looks at how discovery obligations are met when dealing with confidential information.

  • Cost Orders Against Lawyers in Commercial Matters - Practitioners are at cost risk when conducting frivolous proceedings. This session looks at risky lawyer behaviour and the cost consequences, especially when conducting commercial matters.
